Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Technoor’s website and services, including AI Security Posture Management (AI-SPM), AI voice agents, AI chatbots, AI agent integration, enterprise AI implementation, and AI-powered websites (collectively, the “Services”). By using our website or engaging Technoor for the Services, you agree to these Terms.
1. Description of Services
Technoor provides AI modernization of existing systems (AI voice agents, AI chatbots, AI agent integration, enterprise AI implementation, and AI-powered websites); security services comprising Go-Live Assurance and AI Security Posture Management (AI security assessments, algorithmic audits, AI risk & compliance evaluation, Responsible AI Assessment, and AI Forward Deployment); and IT and engineering staffing services. The specific scope of Services provided to a Client is set out in that Client’s order form, statement of work, or engagement agreement, which these Terms supplement.
2. Pricing and Engagements
All pricing is custom-quoted. Technoor evaluates each engagement individually, based on factors such as business size, number of systems in scope, and the specific Services requested, in order to offer pricing suited to that Client rather than a fixed, one-size-fits-all rate. Quoted pricing is valid for the period stated in the applicable quote and is not binding until confirmed in writing by both parties.
3. Client Responsibilities
- Provide accurate information about your business, systems, and requirements so we can deliver the Services correctly.
- Obtain any consents required to allow us to process call, chat, or system data on your behalf.
- Use the Services in compliance with applicable law and not for any unlawful, harmful, or abusive purpose.
4. AI-SPM Assessments: Access and Scope
Where a Client engages Technoor for an AI security assessment, algorithmic audit, AI risk & compliance evaluation, or Responsible AI Assessment, the Client will grant Technoor the access reasonably necessary to complete that engagement. Findings and recommendations are provided based on the systems, data, and access made available at the time of the engagement, reflect a point-in-time review, and do not constitute a guarantee that a Client’s AI systems are, or will remain, free of security, compliance, or algorithmic risk. Where AI Forward Deployment is included, our team will implement agreed-upon remediation directly, subject to the scope defined in the applicable statement of work.
5. Intellectual Property
Technoor retains all rights in its underlying technology, models, and methodologies. Client data, and any Client-owned systems we access, assess, or connect to, remain the Client’s property. Deliverables created specifically for a Client (such as an assessment report or a custom-trained deployment) are licensed or assigned to that Client as set out in the applicable engagement agreement.
6. Confidentiality
Each party agrees to keep the other’s confidential information, including AI-SPM assessment findings, system access, and business information shared during an engagement, confidential, and to use it only for the purposes of the engagement.
7. Disclaimers
The Services are provided on an “as is” and “as available” basis. Technoor does not warrant that any AI system, whether assessed, built, or integrated by us, will be completely free of error, security vulnerability, or downtime. AI-generated responses (from voice agents, chatbots, or other deployments) may occasionally be inaccurate, and human review or escalation paths should remain in place for anything business-critical.
8. Limitation of Liability
To the maximum extent permitted by law, Technoor will not be liable for indirect, incidental, special, or consequential damages arising from use of the Services. Technoor’s total liability for any claim arising from the Services is limited to the amount paid by the Client for the specific engagement giving rise to the claim in the twelve months preceding the claim.
9. Termination
Either party may terminate an engagement in accordance with the terms of the applicable statement of work or order form. Sections of these Terms that by their nature should survive termination (including confidentiality, intellectual property, and limitation of liability) will survive.
10. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles, unless otherwise agreed in writing for a specific engagement.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
